Welcome to ForgePoint Industries (“ForgePoint,” “the Company,” “we,” or “our”). These Terms and Conditions (“Terms”) govern your use of our services, website, and construction-related offerings (collectively, the “Services”). By accessing or using our website or Services, you agree to comply with these Terms. If you do not agree to any part of these Terms, please discontinue use immediately.

1. Services Provided

ForgePoint Industries provides metal manufacturing, pole barn installations, Red Iron steel buildings, metal roofing, siding, and other construction-related services. Detailed descriptions and the scope of our services are available on our website or upon request.

2. Acceptance of Terms

By requesting a quote, entering into a contract, or using any Services provided by ForgePoint Industries, you acknowledge that you have read, understood, and agree to these Terms.

Your access or use of the website or Services, including clicking “accept” or “agree” when prompted, constitutes acceptance on your behalf or on behalf of your organization.

3. Eligibility Requirements

To use the Services, you must:

1. Be at least 18 years old.
2. Be a resident of the United States, Canada, or the United Kingdom.
3. Not be a competitor or using the Services for competitive purposes.

By accessing the Services, you represent and warrant that you meet these eligibility requirements and have the authority to enter into this Agreement.

4. SMS Terms & Conditions

By opting in to receive SMS messages from ForgePoint Industries, you agree to receive text messages related to quotes, order updates, delivery coordination, and customer support. Message frequency may vary. Message and data rates may apply.

You may opt out of SMS messages at any time by replying STOP. For assistance, reply HELP or contact us at sales@forgepointind.com.

Mobile carriers are not liable for delayed or undelivered messages.

You must be 18 years or older to participate in SMS communications.

5. Modifications to Services and Terms

Prices, materials, and Service offerings may change without prior notice. ForgePoint Industries reserves the right to modify, pause, or discontinue any Service, product, or portion thereof at any time without notice.

We may update these Terms from time to time. Continued use after changes constitutes acceptance of the updated Terms.

6. Quotes, Scheduling, & Cancellations

• Quotes:  Provided based on information available at the time and may change if project requirements change.
• Scheduling:  Construction and installation services must be scheduled in advance and may require a deposit.
• Cancellations:  Must be made at least 48 hours before the scheduled service. Late cancellations may incur a fee.

7. Client Responsibilities

• Accurate Information:  Provide complete and accurate project details, including site information, structural requirements, and hazards.
• Site Access:  Ensure safe and accessible conditions for our team and equipment.
• Permits:  Unless otherwise agreed in writing, clients are responsible for obtaining required permits or approvals.

8. Accounts and User Responsibilities

• Account Creation:  Some Services require an account. You must provide accurate, complete, and updated information. Third-party logins may grant us permission to access account info.
• Account Security:  You are responsible for maintaining account confidentiality and activity. Notify us immediately of unauthorized access. We are not liable for losses due to failure to comply.
• Termination:  ForgePoint may suspend or terminate accounts for any reason, including violations of these Terms.

9. User-Generated Content & Content Standards

User Content:  You are responsible for all content you submit. Content must comply with Content Standards and is considered non-confidential.

License to ForgePoint:  By submitting content, you grant ForgePoint a worldwide, perpetual, royalty-free license to use it in connection with the Services.

Content Standards:  Content must not:

• Violate laws or contractual obligations
• Promote illegal activity or harm others
• Infringe intellectual property rights
• Be defamatory, abusive, obscene, discriminatory, or objectionable
• Be fraudulent or misleading
• Imply endorsement by ForgePoint if untrue

Monitoring:  We may remove or restrict content that violates standards or creates liability.

10. Digital Millennium Copyright Act (DMCA)

ForgePoint respects copyright laws. Repeat infringers may have accounts terminated. Claims of infringement should be sent to our designated agent:

11. Payments, Subscriptions, & Orders

• Payment Terms:  Due as outlined in the contract. Accepted methods: cash, check, credit card, or approved electronic payment. Non-payment may result in service delay or cancellation.
• Orders & Purchasing:  Submission of an order constitutes agreement to pay applicable fees, taxes, and costs.
• Subscriptions:  Recurring or fixed-term subscriptions begin on payment receipt and continue unless canceled. Automatic renewal occurs unless canceled per instructions.

12. Non-Disclosure, Non-Disparagement, and Feedback

• Confidentiality:  Do not disclose ForgePoint's proprietary information.
• Non-Disparagement:  Do not make false or harmful statements about ForgePoint or partners.
• Feedback:  Feedback submitted to ForgePoint is non-confidential and assigns all rights to the Company.

13. Liability & Disclaimer

• No Warranty:  Services are provided “as-is” without warranties, express or implied, including merchantability, fitness for a purpose, accuracy, or non-infringement.
• Assumption of Risk:  Use the Services at your own risk.
• Limitation of Liability:  ForgePoint is not liable for direct, indirect, incidental, or consequential damages arising from Services, content, or third-party interactions.
• Indemnification:  You agree to indemnify and hold ForgePoint harmless from claims arising from your use of the Services.

14. Intellectual Property

All content, logos, trademarks, designs, and materials are the property of ForgePoint or its licensors. Unauthorized reproduction or use is prohibited.

15. Privacy Policy

Your use of Services is governed by our Privacy Policy (www.forgepointind.com/privacy-policy). By using the Services, you consent to collection, use, and sharing of information as outlined in the policy.

16. Governing Law & Dispute Resolution

• Governing Law:  North Carolina laws govern these Terms.
• Disputes:  All disputes are subject to state or federal courts in North Carolina. ForgePoint may require arbitration under the American Arbitration Association. Individual claims only; no class actions or consolidated arbitration. Claims must be filed within one year.

17. Miscellaneous

• Waiver:  Delay or failure to enforce any right is not a waiver.
• Severability:  Invalid provisions do not affect the remainder.
• Entire Agreement:  This constitutes the complete agreement between you and ForgePoint.
• Headings:  Section headings are for convenience only.
• No Agency:  This Agreement does not create a partnership or joint venture.
• Assignment:  You may not assign your rights without consent; ForgePoint may assign freely.
• Export Laws:  Compliance with U.S. export laws is required.
• SMS Opt-Out:  Text “STOP” to unsubscribe from messages. Reply “HELP” for assistance.
